Our Corporate & Commercial Department comprises of lawyers who have substantial local and international legal experience, professional qualifications and cultural diversity. We conduct a general corporate, commercial and financial specializing in the Middle East, Gulf and Canada through our offices in Egypt, Kuwait, Tehran, Oman, Dubai, and Montreal.

Banking

We cover all aspects of banking, providing flexible and complete services to meet the changing banking industry.

We provide advice, for example, on banking regulation and supervision within the Gulf region, the underwriting and syndication of loans, debt recovery, foreign exchange contracts, ISDA and other derivative transactions, setting up of funds and other collective investment vehicles, finance leasing arrangements, secured commercial lending, trade, project and corporate financing arrangements, equity and loan finance and the taking, enforcement and realisation of security interests.

Our banking and finance team acts for a range of major financial institutions, second-tier lenders, mezzanine financiers and cashflow lenders.

Unlike many other banking and finance practices, our lawyers have substantial and current commercial finance experience, giving them a deeper understanding of our client’s businesses and the customers’ requirements.

Off shore Company Formation

We assist our clients to corporate offshore companies in and of the free zones in UAE

Offshore companies are the preferred company structure to achieve anonymity and privacy protection, keep all business details confidential and combine all this with limited liability and tax exemption. All companies we offer are fully legal and able to conduct their activities worldwide. Operations inside the Free Zone can be carries out under various different types of license, but most often a foreign company will use a “free Zone Establishment with Offshore Company UAE”.

The Dubai Offshore Company incorporates most of the features to be expected in an offshore company. Its main characteristics are set out in the table below. Some of the other salient features are,

·           100% foreign ownership permitted

·           It must have a Registered Office and a Registered Agent in Dubai. The Registered  Agent must be an approved person

·           It can own real estate on the Palm Islands and in various other developments by certain government owned development companies. It may not otherwise trade in Dubai.

·           The company name must end with the word "Limited". Licensable activities such as banking, insurance and investment management are not permitted.

·           It can maintain banking accounts in the U.A.E. and elsewhere.

·           If the company maintains an office, as opposed to a Registered Agent in the Free Zone, a residence visa may be obtained for one director

·           The Registrar has power to investigate its affairs and charge the costs to any office bearer of the company.

UAE law controls commercial and residential real property transactions and landlord-tenant relationships. Some federal law protections exist for discrimination and environmental violations.
